Board Meeting Minutes: MarcH 5, 2023

Opening - Melanie Odom-Groh
Melanie shared some thoughts about community and led the board in prayer.
Minister's Report - Korderro Brown
Korderro asked the board members to share how they're feeling about the church and the proposed changes to its organizational structure. Several people shared some thoughts and reflections.
Korderro described the responsibilities he sees for the newly-formed transition team:
Create church bylaws.
Help to stabilize the church's financial situation.
Help define what church operations will look like and set a strategic direction for the church.
Korderro has asked Tenia to take on the role of church administrator and she has accepted that role. Her responsibilities will be:
Overseeing the day-to-day operations of the church, including finances, building operations, and the ministry teams
Working with the board of elders to put the elders' strategic vision into action
The transition team and Korderro will meet in the next couple of weeks to get their work started.
Anna asked how much more discussion will be had around the new org chart and what exactly people's roles will be in it. Korderro responded that the reorganization is currently focused on the top of the org chart (the Elder board and overall church administration), and the details of pieces like the ministry teams will be worked out later.
Reports and Items for Action
Finance
Matt reported that the church's bank accounts have been split up so that the church's working bank account is separate from the A Servant's Heart funds, which are in a separate account.
Matt described the income and outlays of the church over the last month and handed out a treasurer's report with the details.
Peace House has received a donation to cover their unpaid property taxes and the related fines and fees, so that has been paid off. The church no longer has any obligations related to past taxes.
The finance team wants to start moving forward on splitting Peace House out into its own non-profit organization, so that Journey of Faith will no longer be their fiscal agent. The church will communicate a deadline to Sheri of the end of April, 2023 for Peace House to be an independent non-profit, after which Journey of Faith will no longer accept donations for Peace House. The church will also transfer the deed for the Peace House property to the new non-profit organization.
An accounting of the church's financial relationship with Peace House was created by Jitasa and Matt. After doing our best to determine which donations the church has received for Peace House, and how much we have transferred to Peace House, it was determined that the church currently owes Peace House $6,000. The church will pay the administrative fees for creating a 501(c)3 for Peace House and write them a check for the remainder.
Ministry Team - Anna
Anna passed out paper copies of the March ministry liaison / outreach coordinator report for the board to read after the meeting.
Future of the Board
There was some discussion of the future of the current board, given the formation of the new transition team and the suggested new church organizational structure, which divides responsibilities more into smaller committees.
The current board will still be tasked with making decisions on behalf of the church, for things outside of the mandate of the transition team. Greg will draft a resolution for the board, detailing exactly which decision making powers will be delegated to the transition team, for the board to vote on. The transition team will be empowered to act autonomously on those things, without the overhead of constant back and forth communication with the board.
DEI Roadmap
Anna gave an overview of the draft DEI roadmap that she had previously sent out to the board via email. The board made some small changes to the wording in the draft.
Greg moved for the board to adopt the amended roadmap and Tenia seconded the motion. Melanie called for a verbal vote and all board members voted "aye". With that, the motion was adopted.
Next Board Meeting
The next board meeting will be on April 2 at 12:30pm at the church.
